What are “Incorporation costs”

The costs you have paid for the incorporation process.

These include:

  • Legal fees (judicial scriveners’ fee for registration and documentation)
  • Advertising fee
  • Rental fee of the meeting place to incorporate the company
  • Stamp tax
  • License payment, etc.

Incorporation costs, also known as start-up costs, organization cost as well.

Tax treatment in Japan

In Japan, incorporation costs are classified as deferred assets to be amortized in the future.

There is no useful life or deadline for amortization, and it is optional when to expense them.


Please note that receipts or evidence are required for each expense.

Also please be careful with the timing of these costs, as sometimes they could not be recorded if the expense occurred too long ago.
